1. Introduction

These Terms of Use govern your access to and use of AIC Clients App, a digital application operated by Advisors International Corporation (AIC) (“AIC”, “we”, “us”, or “our”).

By accessing or using the application, you acknowledge that you have read, understood, and agree to comply with these Terms of Use.

If you use the application on behalf of a company or organization, you represent that you are authorized to use the application on its behalf within the scope of the authority granted to you.

2. Purpose of the Application

AIC Clients App is designed primarily for AIC clients and authorized users to provide secure digital access to information and services associated with their contractual relationship and the services provided by AIC.

Depending on the applicable contracted services, the application may provide access to:

  • Audit and inspection information.
  • Reports and findings.
  • Corrective and preventive actions.
  • Compliance information.
  • Operational performance information.
  • Training and qualification information.
  • Service-related communications.
  • Documents and records.
  • Account and service information.

Available functionality and information may vary according to the client's contractual relationship with AIC and the permissions assigned to each user.

3. Relationship with AIC Client Agreements

These Terms of Use do not replace any signed contract, service agreement, or other binding agreement between AIC and its client.

If these Terms of Use conflict with a signed client agreement concerning commercial, operational, or contractual services, the signed agreement will prevail to the extent of that conflict.

Use of AIC Clients App does not, by itself, create any new service or contractual obligation outside the scope of the services agreed between AIC and the client.

4. Accounts and Authorized Access

User accounts and access permissions are provided according to the client's relationship with AIC and the authorization assigned to the relevant user. Each account is intended only for the authorized individual or entity.

Users are responsible for:

  • Maintaining the confidentiality of login credentials.
  • Not sharing credentials with unauthorized persons.
  • Securing devices used to access the application.
  • Promptly notifying AIC of suspected unauthorized access or misuse.
  • Using the application only within the permissions granted to them.

5. Acceptable Use

AIC Clients App must be used only for lawful professional and business purposes associated with services provided by AIC.

Users must not:

  • Use the application for unlawful or unauthorized purposes.
  • Attempt to access accounts, data, systems, or functionality without authorization.
  • Disclose confidential information to unauthorized parties.
  • Disrupt, interfere with, or damage the application or its technical infrastructure.
  • Attempt to bypass authentication mechanisms, security controls, or access permissions.
  • Upload or distribute malicious code or harmful software.
  • Use application data or documents for purposes other than those for which they were provided.
  • Use the application in a manner that may place AIC, its clients, users, systems, or information at risk.

6. Accuracy of Information

AIC seeks to provide accurate and current information through the application. However, certain information may depend on data supplied by clients or users, or on results of services and activities performed at different times.

Users should notify AIC if they identify a material error in account information or service-related data so that it may be reviewed where appropriate.

7. Confidentiality

The application may contain confidential, commercially sensitive, operational, technical, or other protected information belonging to AIC, the client, or other parties.

Users must maintain the confidentiality of information accessed through the application and must not use or disclose such information except as authorized and in accordance with the applicable contractual relationship.

Making information available through the application does not constitute a waiver of its confidential status or any rights associated with that information.

8. Intellectual Property Rights

Unless otherwise stated, all rights relating to the application, including its software, design, interfaces, trademarks, and AIC-owned content, remain the property of AIC or the applicable rights holders.

Use of the application grants the user a limited, non-exclusive, revocable right to use it solely for authorized purposes.

Users may not copy, modify, republish, redistribute, commercially exploit, or attempt to derive the source code of the application without AIC's express authorization, except where permitted by applicable law or agreement.

9. Documents, Reports, and Professional Content

The application may provide reports, records, findings, or documents associated with professional services provided by AIC. Such materials should be interpreted and used within the context of the service for which they were prepared and the applicable client agreement.

Reports or documents must not be taken out of context or altered in a manner that could result in misleading or inaccurate information.

10. Third-Party Services

The application may rely on third-party services, technologies, or infrastructure for functions such as hosting, data storage, authentication, communications, security, or technical support.

Certain functions may temporarily be affected by the availability or performance of such third-party services, including maintenance or technical interruptions outside AIC's reasonable control.

11. Application Availability and Changes

AIC seeks to maintain appropriate availability of the application. However, access may occasionally be interrupted or affected by maintenance, updates, technical issues, security requirements, or operational reasons.

AIC may update the application or modify its functionality, interfaces, or methods of delivering certain services from time to time in accordance with operational, security, and technical requirements.

12. Suspension or Restriction of Access

AIC may suspend or restrict access where reasonably necessary, including in cases involving:

  • Security concerns.
  • Suspected unauthorized use.
  • Suspected misuse of the application.
  • Violation of these Terms of Use.
  • Expiration, suspension, or termination of the contractual relationship or service associated with the account.
  • The need to protect AIC, the client, users, systems, or information.

13. Expiration or Termination of the Client Relationship

AIC Clients App accounts are associated with the relevant services and contractual relationship between AIC and the client.

If the relevant contract or service expires, is suspended, or is terminated, AIC may suspend or deactivate the associated account and restrict access to the application or certain functionality.

Account deactivation does not necessarily result in deletion of all data or records. Certain information may be retained in accordance with AIC's Privacy Policy and applicable legal, regulatory, or contractual requirements.

14. Account and Application Security

AIC applies reasonable technical and organizational measures to protect the application and information. Users are also responsible for taking appropriate precautions to protect their login credentials and devices.

Users should notify AIC as soon as reasonably possible if they discover or suspect a security breach or unauthorized use of their account.

15. Limitation of Liability

The application is provided to support and facilitate services between AIC and its clients. It is not intended to replace contractual documents, professional judgment, or processes that require human review.

To the extent permitted by applicable law, AIC will not be responsible for losses directly resulting from:

  • Unauthorized account use resulting from sharing or failing to protect login credentials.
  • Inaccurate information provided by a user or client.
  • Temporary technical interruptions outside AIC's reasonable control.
  • Use of the application in violation of these Terms of Use or applicable instructions.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.

16. Privacy and Data Protection

Personal information and other data associated with use of the application are processed in accordance with the AIC Clients App Privacy Policy.

The Privacy Policy is a separate document from these Terms of Use and explains how information may be collected, used, stored, shared, retained, protected, and deleted.

17. Changes to These Terms

AIC may update these Terms of Use from time to time to reflect changes in the application, services, or applicable legal, regulatory, security, or technical requirements.

Where material changes are made, AIC may provide appropriate notice through the application, website, or other available communication channels. Updated Terms become effective from the date stated in the updated version.

18. Severability

If any provision of these Terms of Use is found to be invalid or unenforceable under applicable law, the remaining provisions will continue to remain valid and enforceable to the extent permitted by law.

19. No Waiver

AIC's failure to exercise or enforce any right or provision of these Terms of Use will not constitute a waiver of that right or provision.
